Title: Corporate Lawyer / Senior Legal Counsel Corporate Law Experience: 10+ Years Employment Type: Full-time Location: Coimbatore, Tamil Nadu Role Overview: We are seeking an experienced Corporate Lawyer / Senior Legal Counsel with strong expertise in corporate and commercial law to provide strategic legal advisory support to the management team. The role involves handling complex contracts, supporting corporate governance initiatives, ensuring legal and regulatory compliance, and mitigating legal risks in line with business objectives. The ideal candidate will have substantial experience in a large corporate or multinational workplace. Key & Commercial Legal Support: Draft, review, negotiate, and manage IT and technology-related contracts, including: - Master Service Agreements (MSA) - Non-Disclosure Agreements (NDA) - Statements of Work (SOW) - Service Level Agreements (SLA) - Licensing agreements - Vendor and Client contracts - Manage the end-to-end contract lifecycle, including initiation, negotiation, execution, amendments, renewals, and closure. - Ensure contractual terms are aligned with business objectives while safeguarding the organizations legal and commercial interests. Corporate & Advisory Support: - Provide legal advice on commercial, corporate, and contractual matters to internal stakeholders. - Advise management on risk identification, mitigation strategies, and legal exposure across business activities. - Support decision-making by offering practical, business-oriented legal solutions. Compliance & Governance: - Ensure all contracts and legal processes comply with applicable laws, internal policies, and risk management frameworks. - Support corporate governance requirements and internal compliance initiatives as required. - Assist in maintaining consistency and adherence to legal standards across departments. Stakeholder Collaboration: - Work closely with business, procurement, sales, and technology teams to support commercial transactions and strategic initiatives. - Act as a key legal partner to internal stakeholders, enabling smooth execution of business operations. Key Requirements & degree from a recognized university (LLB / LLM or 10+ years of post-qualification experience in corporate law. - Proven experience handling corporate, commercial, and technology contracts. - Prior experience in a multinational organization, large corporate, or reputed law firm is preferred. Skills & Competencies: - Strong drafting, negotiation, and contract management skills. - Solid understanding of corporate law, commercial contracts, and compliance frameworks. - Ability to assess legal risks and provide explicit, pragmatic advice. - Strong stakeholder management and communication skills.
