Job Purpose: To support secretarial team in various activities and to deal with public shareholders. Key Responsibilities: To assist in conduct of the Board & Shareholders meeting: • Provide administrative support in conducting board/committee meetings, including preparation of schedules, notices, attendance registers, uploading agenda & other documents on the Board Diligent platform, calendars to Directors, printing and signing of minutes by Directors, processing & tracking payment of sitting fees to Directors, and other administrative support. • Arrange administrative tasks for Shareholders meetings, such as interacting with the Share Transfer Agent for dispatch of Annual Reports & Notices, tracking attendance slips and proxy forms, and making necessary arrangements at the venue of General Meetings. Coordinate with shareholders to help them participate virtually in the meetings. To assist in management and coordination with retail shareholders and Registrar and Transfer Agents: • Ensure prompt redressal of grievances of retail shareholders and other security holders with the help of the Share Transfer Agent, including speaking with retail shareholders, meeting investors in person at the corporate office, understanding their requests/complaints, and resolving their queries. • Operate the software/interface provided by the RTA for reviewing the shareholder database/investors' complaints. • Provide company support for all IEPF-related matters. • Maintain records of requests and correspondence with investors received by the Company. • Assist in reviewing and confirming transmission/duplicate and other transactions in securities in coordination with the Share Transfer Agent. Compliances pertaining to Directors and other matters within the organization: • Prepare yearly disclosures of Directors & KMPs, obtain DIN for Directors, coordinate for preparation of DSCs, and track to ensure revalidation within time. • Provide all required administrative support to Directors for their travel, organizing meetings for them, etc. • Provide information, documents, certified copies of resolutions to various departments. • Facilitate data/documents for audit by Statutory & Secretarial Auditors. Budget and Invoice processing: • Prepare departmental budgets and monitor expenses. • Coordinate to carry out the entire process of vendor registration. • Handle the entire process for payment of invoices of vendors and keep track of the same. To support in various activities undertaken by the CS department: • Maintain all records and files of the Secretarial department both at the corporate office and the registered office. Coordinate with RTA for an inventory of company-related records of investors maintained at their end. • Provide administrative support for various meetings with external service providers. • Provide administrative assistance to colleagues in various periodic and event-based activities. Knowledge: • Relevant (Functional/Level) & Total Years of Experience: 8-10 years of relevant experience Skills: Functional Skills: • Working knowledge of MS Word & Excel. Working knowledge of uploading invoices on SAP & agenda on Board platform will be of added advantage.
