  • We are looking for a qualified member of the Institute of Company Secretaries of India (ICSI), with a minimum of 20 years of experience for the position of Company Secretary of the Accenture India legal entity, to lead the Corporate Secretarial team.
  • Reporting will be to the Managing Director, Legal.

Corporate Secretarial team ensures compliance with company law matters and compliances related to V & As, entity integrations and the like. Internal clients range from HR, Finance, Controllership, Taxation, Recruitment, Real Estate, Workplace, Global Asset Protection (GAP), Marketing and Communication (Marcom), Infrastructure Services, and Government Relations.

Key Responsibilities

  • This role is broad and involves leading the company law compliance, mergers and other corporate actions, FEMA compliance and others, including, but not limited to the following.
  • Strong and thorough knowledge of Company Law including CSR
  • Sound knowledge of FEMA related to foreign remittances, ODI and FLA compliances
  • Provide strategic counsel to a seasoned Board by advising on governance best practices, company law compliance, board composition, and enterprise risk management
  • Work closely with finance, internal audit, tax, HR and legal teams on all matters related to Accenture India governance matters and related regulatory compliance, ensuring alignment with long-term business objectives and stakeholder expectations
  • Assess impact of changes in law and regulatory environment, impacting the Company
  • Liaise with external legal counsel and regulatory advisors for effectively managing compliance
  • Undertake and drive process and system improvements
  • Guidance during due diligence and structuring decisions related to acquisitions
  • Strong knowledge and experience on rectification of FEMA non-compliances related to share allotments and transfers to non-residents
  • Ensuring compliance related to all statutory meetings such as Board / Committee meetings, General meetings, as may be required by law, within prescribed timelines.
  • Ensure that Board procedures and internal policy approvals are diligently adhered to.
  • Guidance on drafting Directors reports, CSR reports, loan agreements
  • Ensure compliance of all regulatory filings with MCA / RBI including filings for adhoc events, as may be necessary.
  • Ensure that secretarial audit is conducted as per prescribed timelines, in compliance with Secretarial standards.

Additional Information:

  • Candidate has to be a member of the Institute of Company Secretaries of India. Law degree will be an added advantage.
  • Minimum 20 years of relevant work experience in a Private Company or Practicing CS firm or a law firm handling corporate law matters.
