Location: Remote, with opportunity to work from a San Francisco office

Job Type: Full-time

Compensation: $120,000–$150,000 base salary + equity and applicable bonuses

About the Role

We’re looking for a corporate legal professional who combines strong transactional execution with an interest in AI, legal technology, and process automation.

This role is suited to an experienced corporate paralegal or junior corporate attorney with hands-on experience in venture financings, corporate governance, equity administration, and transaction execution.

You’ll manage the details that keep corporate matters moving while helping build technology-enabled workflows that make legal operations faster, more accurate, and scalable.

What You’ll Do

  • Support venture financings, secondary transactions, board and stockholder approvals, and other corporate matters.
  • Draft documents and coordinate with internal teams and outside counsel.
  • Manage transactions from signatures and document circulation through closing and post-closing activities.
  • Maintain corporate records, data rooms, organizational documents, and subsidiary records.
  • Manage corporate governance, entity administration, state filings, annual reports, and minute books.
  • Administer cap tables, equity plans, and equity grants, including grants, exercises, transfers, cancellations, and reconciliations.
  • Draft and manage routine corporate and legal documents, escalating matters when appropriate.
  • Design AI-enabled legal intake and triage workflows.
  • Build templates, playbooks, self-service tools, and automations for recurring legal processes.
  • Identify repetitive work and develop systems to improve efficiency and scalability.

Requirements

  • Significant experience supporting venture financings, M&A, or similar corporate transactions.
  • Strong knowledge of transaction documents, approvals, and closing processes.
  • Experience with corporate governance, entity management, state filings, cap tables, and equity administration.
  • Excellent organization, drafting, proofreading, and project management skills.
  • Strong attention to detail and ability to independently manage matters through completion.
  • Interest in AI, legal technology, workflow design, and automation.
  • Sound judgment and ability to identify matters requiring escalation or outside counsel.
  • Comfortable working autonomously in a fast-paced, highly asynchronous environment.
  • Collaborative and willing to work across legal and operational functions.

Preferred Qualifications

  • JD and active U.S. bar membership with 3+ years of corporate experience at a leading U.S. law firm; or
  • 8+ years of corporate paralegal experience supporting venture transactions across law firm and in-house environments.
  • Experience with venture-backed or high-growth technology companies.
  • Experience building workflows using AI tools, automation platforms, Slack integrations, or contract management systems.
  • Track record of improving legal processes through technology and automation.
